VCOMMERCE TAPS CALENCE CEO MIKE FONG FOR BOARD OF DIRECTORS

Seasoned Executive Brings Outsourcing Leadership and Strategic Expertise to Leading Provider of Multi-Channel Solutions for Retailers and Manufacturers

SCOTTSDALE, Ariz., August 25, 2004-- Vcommerce Corporation announced today that it has elected Mike Fong to its board of directors. Fong is chairman and CEO of Calence, Inc., a Tempe, Ariz.-based leader in building and managing networks. In his new role, Fong will lend his strategic and management expertise to drive broad acceptance of Vcommerce's solutions for direct-to-consumer sales through multiple channels, such as online, kiosk, catalog and phone-order entry.

"Mike Fong is a brilliant strategist and an outstanding CEO - he's grown his company from a raw start-up to close to $100 million in revenues," said Vcommerce CEO Dan Clarke. "He's especially skilled in managing a services-oriented business model to benefit large client companies. Bringing Mike's expertise onto our board will bring us a significant advantage in terms of accelerating Vcommerce's growth."

Fong has more than 15 years of business, IT and network consulting experience, working both domestically and internationally with Fortune 50 companies, major financial institutions, and large technology organizations. Prior to founding Calence in 1993, he served as a consultant for a large systems integrator and Big Five accounting firm. He graduated from Carnegie-Mellon University with a BA in electrical engineering. Fong is an original member of Arizona Governor Janet Napolitano's Council on Innovation and Technology, this year being selected to chair the committee on Technology Commercialization.

"Vcommerce's innovative solutions are attracting clients and investors alike," said Fong. "I believe the company is poised to begin a period of significant growth, and I look forward to helping position it for further success."

Vcommerce's board is chaired by Dan Kennedy, the company's president and CTO. Fong and Clarke fill the remaining board seats.

According to Kennedy, "Vcommerce is focused on delivering our solutions in an on-demand model - a pay-as-you-go hybrid that offers the flexibility of traditional software, the convenience of a hosted solution, and the cost-effectiveness of a managed service. Mike Fong has just the right expertise we need on our board as we bring our on-demand, direct-to-consumer solutions to the broader market."
